Notice is hereby given of a SPECIAL MEETING to be held at the Clubrooms on
Wednesday 28 July 2010 at 7.00pm to attend to the following business:
1. Alteration of the “Definitions” section of the Constitution by insertion between the definition therein contained for “Junior Playing Member” and the definition therein contained of “Life Member” the following definition:
“ “Legend” means a person inducted as a Legend of the Club in accordance with clause 4.19 of this constitution.”
2. Alteration to clause 4.9 of the constitution by the insertion of a further membership category
as follows: “(f) Legend”
3. Alteration to clause 4.18 by the insertion of the following words, after the word “fee” in line
five thereof and prior to the word “and”: “apart from a playing fee as determined by the Board, should that Life Member play cricket for the Club”
4. Insertion of a new clause 4.19 in the constitution as follows:
“4.19 If any person is considered by the Board to have been or to be a player for the Club of such distinction and repute as to be viewed within the history of the Club as a Legend, the Board may, in its sole discretion and on a majority affirmative vote of not less than 75%, elect such person to be a Legend of the Club. Upon election as a Legend, that person shall not be
liable for payment of any further subscription or fee apart from the Playing Fee as determined by the Board, should that Legend play cricket for the Club and shall be entitled to all the privileges of Membership. The Club shall limit the status of Legend to not more than 20 living persons at each time.”
5. The deletion of the existing clause 28.3 of the constitution and its replacement with the following:
“28.3 If upon a dissolution or winding up of the Club there remains, after satisfaction of all debts and liabilities, any remaining properties, funds or assets whatsoever, those properties, funds or assets shall be transferred and distributed to the Auckland Cricket Development Foundation or other Auckland cricket body that is registered as a charity under the provisions
of the Charities Act 2005 or any Act passed in substitution for that Act.”
Explanation of Special Resolutions:
Resolutions 1, 2 & 4 – these are required to formalise the definition of Legend that is now part of Howick Pakuranga Cricket Club and also to clarify the playing fee portion of membership for Legends who continue to play cricket. A playing fee is paid to ACA for all people who play cricket for the Club. Resolution 3 – this is required to clarify and formalise the playing fee portion of membership for Life Members who continue to play cricket. A playing fee is paid to ACA for all people who play cricket for the Club.
Notice is hereby given of the ANNUAL GENERAL MEETING
to be held at the Clubrooms on Wednesday 28 July 2010 at 7.30pm:
Nominations are called for two Elected Board Members, to be received by Friday 23rd July 2010.
Applications are also invited for three Appointed Board Member positions, to be accompanied by a CV and covering letter by 23rd July 2010. Applicants do not need to be club members.
